These Terms of Service (“Terms”) govern your access to and use of the website and services provided by Nextus Digital Solutions, LLC (“Company,” “Nextus,” “we,” “us,” or “our”). By accessing our website, engaging our services, or communicating with us, you agree to these Terms.

If you do not agree with these Terms, you should not use our website or services.

1. Services

Nextus Digital Solutions provides digital services including, but not limited to:

  • Web design and development

  • Search engine optimization (SEO) and AI-driven SEO services

  • Digital advertising management (Google Ads, Meta Ads, and alternative platforms)

  • Branding and design services

  • Content creation including video production and product photography

  • Marketing consulting and strategy

  • Automation systems and AI workflow integrations

  • Other related digital marketing or technology services

Specific deliverables, timelines, and payment structures may be outlined in a separate written agreement, Statement of Work (SOW), proposal, or contract between Nextus and the client.

If a separate agreement exists, that agreement will take precedence over these Terms in the event of a conflict.

2. Client Responsibilities

Clients agree to:

  • Provide accurate and complete information required for the performance of services.

  • Supply required materials, content, approvals, and feedback in a timely manner.

  • Maintain ownership or appropriate licensing for any materials provided to Nextus.

Nextus is not responsible for delays caused by a client’s failure to provide necessary information, approvals, or assets.

3. Payments & Fees

All fees for services will be outlined in project proposals, invoices, or written agreements.

Unless otherwise specified:

  • Payments are due according to the schedule listed in the invoice or agreement.

  • Late payments may result in suspension of services.

  • Certain services may require upfront deposits before work begins.

Nextus reserves the right to pause work or withhold deliverables until outstanding balances are paid.

4. Intellectual Property

Unless otherwise stated in a separate written agreement:

  • Clients retain ownership of materials they provide to Nextus.

  • Upon full payment, clients are granted rights to final deliverables created specifically for their project.

Nextus retains the right to:

  • Use completed work for portfolio, marketing, and promotional purposes

  • Display work as examples of services provided

Any third-party assets (fonts, plugins, stock media, software licenses, etc.) remain subject to the original licensing terms.

5. Third-Party Services

Nextus may integrate or work with third-party platforms including but not limited to:

  • Shopify

  • Framer

  • Google Ads

  • Meta Ads

  • CRM platforms

  • analytics platforms

  • automation tools

  • hosting providers

  • AI tools and APIs

Nextus is not responsible for outages, policy changes, pricing changes, or disruptions caused by third-party platforms.

Clients are responsible for maintaining their own accounts and subscriptions unless otherwise agreed.

6. Advertising & Marketing Performance Disclaimer

While Nextus uses professional strategies and best practices to improve results, we do not guarantee specific outcomes, including but not limited to:

  • search rankings

  • ad performance

  • traffic volume

  • revenue growth

  • lead generation

Marketing performance is influenced by many factors beyond our control, including competition, platform algorithms, and market conditions.

7. Website & Technology Disclaimer

Nextus makes reasonable efforts to deliver secure and reliable digital systems; however:

  • No website, software system, or automation platform can be guaranteed to be completely free from vulnerabilities.

  • We cannot guarantee uninterrupted website uptime.

Clients are responsible for maintaining secure credentials and proper access control to their accounts.

8. Confidentiality

Both Nextus and the client agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of a project.

Confidential information will not be disclosed to third parties except when required for project completion or by law.

9. Limitation of Liability

To the fullest extent permitted by law, Nextus Digital Solutions, LLC shall not be liable for any:

  • indirect damages

  • consequential damages

  • lost profits

  • lost revenue

  • business interruption

  • loss of data

arising from the use of our services or website.

Total liability for any claim related to services shall not exceed the amount paid by the client for the specific service giving rise to the claim.

10. Indemnification

Clients agree to indemnify and hold harmless Nextus Digital Solutions, LLC from any claims, damages, or legal disputes arising from:

  • materials provided by the client

  • misuse of services

  • violations of laws or regulations

  • intellectual property infringement related to client-provided content

11. Termination

Either party may terminate services according to the terms outlined in a project agreement or written contract.

Upon termination:

  • All outstanding invoices become immediately due.

  • Work completed up to the termination date remains billable.

Nextus reserves the right to terminate services if a client violates these Terms.

12. Privacy

Use of our services and website is also governed by our Privacy Policy, which explains how we collect, use, and protect personal information.

Your use of our services indicates acceptance of that policy.

13. Compliance With Laws

Clients agree to comply with all applicable laws and regulations when using services provided by Nextus.

This includes but is not limited to laws regarding:

  • advertising

  • intellectual property

  • data protection

  • consumer protection

14. Changes to These Terms

We may update these Terms periodically. Updates will be posted with a revised “Last Updated” date.

Continued use of our website or services indicates acceptance of any changes.

15. Governing Law

These Terms shall be governed by and interpreted according to the laws of the State of Florida, without regard to conflict-of-law principles.

Any disputes arising under these Terms shall be resolved in courts located within Florida.
